Terms of Service for Pipe Buyer

Welcome to Pipe Buyer, accessible at https://www.pipebuyer.com. By creating an account or using the platform, you agree to these Terms of Service. If you do not agree, do not use the platform.

If you use Pipe Buyer on behalf of a company or other organization, you confirm that you are authorized to bind that organization, and “you” includes that organization.

1. What Pipe Buyer Is

Pipe Buyer is a business-to-business technology marketplace that connects buyers, sellers, and independent freight carriers for industrial equipment and materials, including oil & gas equipment, OCTG casing, tubing, line pipe, valves, portable buildings, crew assets, vehicles, and heavy machinery. The platform provides listings, wanted ads, offers, timed buying and auction tools, messaging, seller payout onboarding, payment features where enabled, and freight dispatch coordination.

Pipe Buyer is not the owner, seller, carrier, inspector, appraiser, bank, trust company, or escrow provider for user-listed goods. Pipe Buyer does not take possession of listed goods or cargo and does not operate an escrow or trust account. Where a payment feature is enabled, Stripe or another approved payment provider processes the payment and related payout services. Pipe Buyer may instruct the provider to collect an authorized platform fee and, for supported marketplace transactions, route seller proceeds according to the transaction record and provider rules.

Some payment features are released separately behind server-controlled readiness, tax, risk, geographic, and compliance gates. A feature shown in the application is not necessarily available in every country, category, device build, or transaction.

2. Eligibility & Accounts

You must be at least 18 years old, provide accurate information, maintain an account in good standing, and complete any verification required for the feature you use. Seller payout eligibility may require identity, business, tax, and bank-account verification performed by Stripe.

You are responsible for your credentials and account activity. Contact us promptly if you suspect unauthorized access. Administrator accounts require multi-factor authentication.

3. Fees, Subscriptions & Payment Processing

Marketplace listing access is currently free unless a specific paid listing or promotional product is clearly disclosed before purchase.

Dispatch membership. On the Pipe Buyer web application, the current Canadian Dispatch subscription options are:

The price, currency, taxes, renewal interval, promotions, and amount due shown in Stripe Checkout immediately before purchase control. Native mobile builds may not offer new subscription purchasing until the applicable mobile-store billing path is enabled. Existing valid memberships may continue to be recognized across supported builds.

Marketplace seller fee. When a supported transaction becomes subject to Pipe Buyer marketplace fee collection, the server records the fee schedule revision in effect for that transaction. The current launch schedule is:

The current marketplace fee is charged to the seller. The application may display an estimate, but the server-authoritative fee snapshot is controlling. A later fee change does not rewrite a fee already captured for an accepted transaction.

Payment provider. Stripe processes enabled subscription payments, platform-fee payments, and supported marketplace payments. Stripe may collect payment credentials, identity information, tax information, and bank/payout details directly. Pipe Buyer does not receive full card numbers, CVV values, or raw bank-account credentials from Stripe-hosted onboarding or Checkout.

Full buyer-to-seller on-platform payment availability is controlled by live readiness gates. Pipe Buyer may keep that flow disabled in a market until applicable tax registrations, payout capability, risk controls, and operational reconciliation are confirmed. When disabled, users must use only the payment or settlement method actually offered for that transaction.

Taxes may be added or collected where required. You remain responsible for taxes, registrations, invoices, exemptions, and reporting that legally belong to you as buyer, seller, carrier, or service provider. Pipe Buyer may request tax information or exemption evidence where needed to operate a payment flow.

4. Subscriptions, Renewals & Cancellation

A recurring subscription renews at the interval displayed at Checkout until canceled. Where available, you may manage billing through the Stripe-hosted customer portal. Unless otherwise disclosed, cancellation takes effect at the end of the current paid period and access continues through that date. Failed or overdue payments may suspend paid features.

Promotional or free-period entitlements are governed by the promotion attached to your account and the provider record. A browser return or success page alone does not create paid access; Pipe Buyer relies on verified payment-provider evidence.

5. Seller Payouts & Stripe Connect

Sellers receiving proceeds through an enabled on-platform marketplace flow must complete Stripe seller onboarding and maintain an account eligible to receive transfers. Stripe, not Pipe Buyer, collects the bank-account and identity information required for that onboarding.

Pipe Buyer may delay or block initiation of a seller transfer where the transaction is not successfully paid, the seller is not payout-ready, a refund/dispute or risk hold exists, or another server-controlled financial safeguard applies. These controls are transaction safeguards and do not create an escrow or trust relationship.

6. Your Content

You keep ownership of listings, photographs, descriptions, messages, and other content you submit. You grant Pipe Buyer a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, and distribute that content as reasonably necessary to operate, secure, and promote the platform. The licence ends when content is deleted except for copies retained in backups, transaction records, fraud/safety records, or legal records as described in our Privacy Policy.

You represent that you have the right to submit your content and that it does not infringe another person's rights.

8. Listings, Offers & Timed Buying

Listings. Sellers are responsible for listing accuracy, legal title, condition, quantity, and delivery terms.

Offers. An accepted offer creates an agreement between buyer and seller. Pipe Buyer records the marketplace event and may facilitate enabled payment functions, but does not become the seller or buyer of the goods.

Timed buying and auctions. A bid or timed-buy commitment may be binding under the rules displayed for the listing. The server determines the winning state, accepted price, and transaction record. A client-side screen, timer, or redirect does not by itself settle a transaction or prove payment.

Failure to complete a committed transaction may result in suspension or other account restrictions. Pipe Buyer does not guarantee that another user will perform or that an item will satisfy your requirements. Inspect and verify before relying on a transaction.

9. Refunds, Disputes & Chargebacks

Refund availability depends on the transaction, applicable law, the seller's obligations, and the payment provider's rules. Pipe Buyer may provide a workflow for refund requests or administrative financial resolution, but that does not guarantee a refund. A paid transaction may not be treated as canceled until required financial resolution is complete.

Payment disputes and chargebacks may be handled through Stripe. Users must provide truthful, timely evidence when requested. Pipe Buyer may place related transfers, payouts, or account features on hold while a dispute, refund, or seller-recovery issue is unresolved.

10. Freight Dispatch

Dispatch lets customers post freight needs and lets eligible carriers quote. A paid Dispatch membership may be required before a carrier can submit bids or quotes. Carriers are independent businesses and remain responsible for operating authority, licensing, insurance, permits, hours-of-service compliance, equipment suitability, and cargo liability.

Distance and route estimates are planning information. Unless the screen specifically identifies a reviewed routing result, do not rely on an estimate for legal routing, permits, bridge/road restrictions, pricing, or regulatory compliance.

Awarding a Dispatch quote creates an agreement between the customer and carrier. Pipe Buyer does not transport or take custody of cargo.

11. Fraud Prevention, Moderation & Account Holds

We may use account, transaction, device, payment-provider, listing, messaging, and behavioral signals to detect fraud, scams, prohibited activity, or unusual risk. We may require additional verification, block a payment or payout feature, remove content, restrict an account, or place a transaction into review where reasonably necessary to protect users or the platform.

Automated signals can prioritize review, but account enforcement may include human review and an appeal path where appropriate. We may take immediate protective action when there is a credible risk of fraud, loss, harm, or legal exposure.

12. Disclaimers

The platform is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that a listing is accurate, complete, lawful, free of liens, or fit for purpose; that a user will perform; that catalogue, weight, dimension, location, route, or specification data is exact; or that the service will always be uninterrupted or error-free.

You are responsible for commercial due diligence, inspection, title verification, and deciding whether a transaction is appropriate for you.

13. Limitation of Liability

To the maximum extent permitted by law, Pipe Buyer will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profit, revenue, data, opportunity, or business interruption arising from use of the platform.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

14. Indemnity

You will indemnify and hold harmless Pipe Buyer and its officers, directors, employees, contractors, and agents from claims, losses, liabilities, and reasonable costs arising from your content, your transaction or transport activity, your breach of these Terms, or your violation of law or third-party rights, to the extent permitted by law.

15. Account Closure & Termination

You may request account closure through the application. Where a deletion grace period is shown, you may cancel deletion during that period. We may suspend or terminate access for breach, fraud/risk concerns, legal requirements, non-payment, or if we discontinue a feature or service. Financial, dispute, tax, audit, and legal records may be retained where required.

16. Changes to These Terms

We may update these Terms. Material changes are published with a new version/effective date, and the application may require you to review and accept the exact current version before transacting again.
